Master Subscription Agreement

1. Agreement to Terms

This Master Subscription Agreement ("Agreement") is between Cention AB ("Cention", "we", "us") and the entity or individual ("Customer", "you") subscribing to our services. By accessing or using our services, you agree to be bound by this Agreement.

2. Services

Cention provides an agentic AI platform for customer communication and workflow automation ("Services"). The specific features and capabilities available depend on your subscription plan.

3. Account Registration

You must provide accurate, complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

4. Subscription and Payment

4.1 Subscription Terms

Subscriptions are billed monthly or annually as selected. Subscription fees are due in advance and are non-refundable except as required by law or stated in our Billing Policy.

4.2 Payment

You authorise us to charge your payment method for subscription fees and any applicable add-ons. Prices may change with 30 days' notice.

4.3 Taxes

Fees exclude applicable taxes. You are responsible for all taxes, except those based on our net income.

5. Use of Services

5.1 Permitted Use

You may use the Services for your internal business purposes in accordance with this Agreement and our Acceptable Use Policy.

5.2 Restrictions

You may not: (a) sublicense or resell the Services; (b) reverse engineer the platform; (c) use the Services for illegal purposes; (d) interfere with service operation; (e) exceed usage limits.

6. Customer Data

6.1 Ownership

You retain all rights to your data. You grant us a limited licence to use your data solely to provide the Services.

6.2 Data Protection

We process personal data in accordance with our Privacy Policy and applicable Data Processing Addendum.

7. Intellectual Property

Cention retains all rights to the Services, platform, and related intellectual property. This Agreement does not grant you any rights to our trademarks or branding.

8. Confidentiality

Each party agrees to protect confidential information received from the other party and use it only for purposes of this Agreement.

9. Warranties and Disclaimers

We warrant that the Services will perform materially as described. EXCEPT AS EXPRESSLY STATED, SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CENTION'S LIABILITY IS LIMITED TO THE FEES PAID IN THE 12 MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.

11. Indemnification

You agree to indemnify Cention against claims arising from your use of the Services, your content, or your violation of this Agreement.

12. Term and Termination

12.1 Term

This Agreement continues until terminated. Subscriptions auto-renew unless cancelled before the renewal date.

12.2 Termination

Either party may terminate for material breach with 30 days' notice. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.

12.3 Effect of Termination

Upon termination, your access to Services ends. You may export your data within 30 days of termination.

13. General Provisions

13.1 Governing Law

This Agreement is governed by the laws of Sweden. Disputes shall be resolved in the courts of Stockholm.

13.2 Modifications

We may modify this Agreement with 30 days' notice. Continued use after changes constitutes acceptance.

13.3 Entire Agreement

This Agreement, together with referenced policies, constitutes the entire agreement between the parties.
